Cross-border M&A.
Sell-side and buy-side advice on transactions spanning jurisdictions, cultures and legal systems. We find the right counterparty and bring different interests to a result both sides can sign.
We advise investors, families, corporates and institutions on cross-border, strategic and geopolitically sensitive transactions, where regulatory, sovereign or structural complexity rules out a conventional process.
Arcus Advisors is an independent corporate finance advisory firm based in Vienna. We do not advise on volume-driven, plain-vanilla transactions. We focus only on highly complex, strategic and geopolitically sensitive M&A: deals that cross borders, involve sovereign or regulated counterparties, or call for structures that don't yet exist.
Since 2014 we have advised ultra-high-net-worth individuals, family offices, private equity and venture capital funds, corporates, financial institutions and sovereign wealth funds. We take on a small number of mandates at a time, so each one gets senior attention from the first conversation through to closing.
Our founder and Managing Partner, Martin Schwedler, has more than 30 years of international investment banking and private equity experience in London, New York, Frankfurt, Moscow, Paris and Vienna. He has held senior roles at GE Capital, Credit Suisse, Lazard and CIBC Oppenheimer, and was CEO of Raiffeisen Investment AG, the M&A advisory arm of Raiffeisen Bank International. Through a global network and cooperation agreements with leading institutions, we reach decision-makers that standard processes don't.
We take on mandates where regulatory, sovereign or strategic factors mean the deal has to be designed rather than processed.
A network across Europe, the Middle East, Africa and Asia gives direct access to strategic buyers, investors and state-related counterparties.
We are owner-managed and tied to no bank or investor. Our advice serves the client's interests alone, and we treat every mandate with strict confidentiality.
Clients across 15 European countries, the Middle East, Africa and Asia.

Transactions with sovereign wealth funds, state-owned enterprises and strategic institutional investors, where political, governance and reputational factors weigh as heavily as price.
Deals affected by foreign investment screening, sanctions, merger control or strategic-industry rules. We anticipate approval risk and shape the structure and timetable around it.
Joint ventures, carve-outs, minority and staged investments, strategic capital raises and restructurings, built for situations where off-the-shelf structures don't work.
Map the strategic goals, stakeholders and constraints: regulatory, sovereign, political and reputational. Identify what could stop the deal before it starts.
Design a transaction and approval path that fits the situation, whether that means a creative structure, staged execution or alternative routes to value.
Approach the right strategic, financial and sovereign counterparties confidentially through our international network, often at principal level.
Lead negotiations, coordinate legal, tax and regulatory advisers across jurisdictions, and see the transaction through approvals to closing.
If your transaction crosses borders, involves sovereign or regulated parties, or needs a structure that doesn't yet exist, talking early gives you room to shape it. Every conversation is confidential.
